Client Agreement for Fodo Global Language Services
Effective Date: [1st February 2025]
This Client Agreement (“Agreement”) is entered into by and between Fodo Global Language Services (“we”, “us”, “our”) and the client (“you”, “your”) who utilizes our services. By engaging our services, you agree to the terms outlined in this Agreement.
1. Services Provided
Fodo Global Language Services offers a variety of language-related services, including but not limited to:
Translation
Subtitling
Transcription
Writing (including copywriting and content creation)
Video Production and Editing
Quality Assurance
Linguistic Services (Language Coaching, Language Testing, Linguistic Validation)
Digital Marketing and SEO
The specific services to be provided will be outlined in the project proposal or as agreed upon in communication between Fodo Global Language Services and the client.
2. Scope of Work
The scope of each project will be defined in a written agreement (e.g., via email or contract). Any additional work outside of the agreed scope will require a new agreement or change order and may be subject to additional charges.
3. Client Responsibilities
You agree to:
Provide all necessary materials and information required for the completion of the services (e.g., documents for translation, audio files for transcription).
Ensure that the provided content is clear, accurate, and appropriate for the intended purpose.
Respond to requests for feedback or approval in a timely manner.
4. Payment Terms
You agree to pay the fees outlined in the proposal or contract.
Payment must be made as per the agreed schedule (e.g., upfront, upon completion, or in installments).
If payments are not received on time, we reserve the right to suspend or halt services until payment is made.
Accepted payment methods include credit cards, bank transfers, and PayPal.
5. Confidentiality and Privacy
We respect your privacy and the confidentiality of your materials. We agree not to disclose any of your proprietary or confidential information to third parties unless required by law or with your consent. This applies to all documents, materials, and intellectual property shared with us during the course of providing our services.
6. Intellectual Property
Any content or materials provided by you to Fodo Global Language Services (e.g., documents for translation, media files for editing) remains your property.
Upon payment in full, you will retain full ownership of the final deliverables produced by us (e.g., translated content, edited videos).
Fodo Global Language Services reserves the right to display final work in our portfolio or for marketing purposes unless otherwise agreed.
7. Project Timeline and Deadlines
We strive to meet agreed-upon deadlines. However, the timeline will depend on the scope and complexity of the project.
Delays due to unforeseen circumstances (e.g., client delays in providing feedback, or additional work requested) may extend the timeline.
In the event of a delay, we will communicate with you promptly to set new expectations.
8. Amendments and Revisions
Any revisions or amendments to the original work that fall within the agreed scope of services will be included in the project at no additional charge, subject to limitations and the agreed-upon timeframe.
Requests for additional revisions outside the initial scope will incur additional fees.
9. Termination
Either party may terminate this Agreement with written notice if the other party breaches the terms of the Agreement.
In the event of termination, any outstanding fees for work completed will be due immediately.
Termination does not affect any rights or obligations that have accrued prior to the termination date.
10. Indemnification
You agree to indemnify and hold Fodo Global Language Services harmless from any claims, losses, or damages arising from the use of our services, including any legal fees or expenses incurred due to your violation of this Agreement or misuse of our work.
11. Limitation of Liability
Fodo Global Language Services’ liability to you for any claim, whether in contract, tort, or otherwise, is limited to the total amount paid for the specific services involved in the claim. We will not be liable for any indirect, incidental, or consequential damages.
12. Dispute Resolution
In the event of a dispute arising under this Agreement, both parties agree to attempt to resolve the dispute through negotiation or mediation. If resolution is not reached, the dispute will be resolved through arbitration under the rules of [Insert arbitration body], located in [jurisdiction], and the decision will be binding.
13. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Insert Jurisdiction], without regard to its conflict of law principles.
14. Modifications
This Agreement may be modified only by a written document executed by both parties. We may revise or amend the terms of this Agreement by posting updates on our website or providing written notice to you.
